Terms of Service

1. Agreement

These Terms of Service (“Terms”) form a binding agreement between you (“Customer,” “you,” or “your store”) and Shelah.ai (“we,” “us,” or “Shelah.ai”) governing your access to and use of the Shelah software service (“Service”). By creating an account, starting a trial, or using the Service, you agree to these Terms.

If you are accepting on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. The Service

Shelah is an AI-powered delivery dispatch platform for grocery stores, providing route optimization, live driver tracking, dwell-time alerts, bag scan tracking, and related features as described on our website and in any applicable order form.

We reserve the right to modify, add, or remove features of the Service at any time. We will provide reasonable notice of material changes that reduce functionality available to paid subscribers.

3. Subscription & Billing

Plans.The Service is offered on the following plans: Launch ($299/month, up to 5 drivers, 1 store location) and Pro ($649/month, unlimited drivers, up to 5 store locations). Plan details and pricing are subject to change with 30 days' notice to existing subscribers.

Free Trial. New accounts receive a 30-day free trial. No credit card is required to start a trial. At the end of the trial period, continued access requires entering payment information and selecting a plan.

Billing Cycle. Subscriptions are billed monthly in advance. Your billing date is set when you first enter payment information. Payments are processed by Stripe; by providing payment information you authorize recurring charges.

Cancellation. You may cancel at any time from your account settings or by emailing dispatch@shelah.ai. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial months, except as required by applicable law.

Taxes. Prices exclude applicable taxes. You are responsible for all taxes, duties, and similar charges.

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law or regulation
Reverse engineer, decompile, or attempt to extract source code from the Service
Resell, sublicense, or offer the Service to third parties without our written permission
Interfere with or disrupt the integrity or performance of the Service or its infrastructure
Attempt to gain unauthorized access to any part of the Service or its related systems
Use the Service to transmit spam, malware, or other harmful content
Collect or harvest data from the Service using automated means without our consent
Misrepresent your identity or affiliation in connection with the Service

Violation of these rules may result in immediate suspension or termination of your account without refund.

5. Customer Responsibilities

Driver Disclosure. You are responsible for ensuring all drivers using the Service have reviewed and accepted the Driver GPS Disclosure prior to their first shift. The disclosure is available at /driver/disclosure.

Data Accuracy. You are responsible for the accuracy of customer delivery addresses, order data, and driver information you enter into the Service. We are not liable for failed or late deliveries resulting from inaccurate data.

Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Compliance. You are responsible for complying with all laws applicable to your delivery operations, including labor laws, vehicle regulations, and food safety requirements.

6. Intellectual Property

The Service, including its software, algorithms, design, and content, is the property of Shelah.ai and is protected by copyright, trade secret, and other intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business operations during your subscription term.

You retain all rights to the data you submit to the Service (“Customer Data”). You grant Shelah.ai a limited license to process Customer Data solely to provide and improve the Service.

7. Uptime & Support

We target 99.5% monthly uptime for core dispatch functionality. Scheduled maintenance windows will be communicated at least 24 hours in advance. Support is provided by email at dispatch@shelah.ai. Launch plan customers receive standard support (response within 1 business day). Pro plan customers receive priority support (response within 4 hours during business hours EST).

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY ROUTING DECISIONS OR ALERTS WILL RESULT IN ON-TIME DELIVERIES. DISPATCH RECOMMENDATIONS ARE AI-GENERATED AND SHOULD BE REVIEWED BY A HUMAN DISPATCHER BEFORE BEING ACTED UPON.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHELAH.AI'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SHELAH.AI IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL SHELAH.AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to indemnify, defend, and hold harmless Shelah.ai and its officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any dispute between you and your customers, drivers, or employees.

11. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you violate these Terms, fail to pay amounts due, or if continued service would expose us to legal liability. Upon termination, your license to use the Service ends immediately. We will make your Customer Data available for export for 30 days after termination, after which it will be deleted.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be submitted to binding arbitration in New York County, New York, under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. We will notify active subscribers by email at least 14 days before material changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
